1. Agreement

These Terms of Service (“Terms”) govern your access to and use of the Cirvex platform, websites and APIs (the “Service”), operated by [LEGAL ENTITY NAME] (“Cirvex”, “we”, “us”). By creating an account or using the Service you agree to these Terms. If you use the Service on behalf of an organisation, you confirm you are authorised to bind it.

2. The Service

Cirvex provides white-label identity verification (KYC), business verification (KYB), AML/sanctions screening and age verification through a single API and dashboard, plus the Cirvex Radar regulatory-monitoring product. Features available to you depend on your plan. We may improve, change or discontinue parts of the Service, giving reasonable notice of material changes.

3. Accounts

You must provide accurate information, keep your credentials secure, and are responsible for activity under your account. You must verify your email before access. We may suspend or close accounts that breach these Terms or present legal or security risk.

4. Plans, fees & billing

Paid plans and usage limits are described at sign-up. Fees are billed in advance per the selected plan; usage above plan limits may be billed separately or blocked. Unless stated otherwise, fees are non-refundable. We may change pricing with prior notice; changes do not affect the current paid period.

5. Acceptable use

You agree not to: use the Service unlawfully or without a valid legal basis to verify the individuals you submit; misuse, resell or reverse-engineer the Service outside your plan; upload malicious code; attempt to bypass security, rate limits or access controls; or use outputs to unlawfully discriminate. You are responsible for your own regulatory obligations toward your end-users.

6. Your data & data protection

Personal data you submit about your end-users is processed by Cirvex as your processor under our Data Processing Agreement (the “DPA”), which forms part of these Terms. Our handling of website and account data is described in our Privacy Policy. You confirm you have the lawful basis and notices required to submit end-user data for verification.

7. Third-party services

The Service relies on third-party providers (including identity-verification vendors such as Veriff and infrastructure/email providers). Your use may be subject to their terms where applicable. We are not responsible for third-party services outside our control, but we select and contract them with reasonable care.

8. Intellectual property

The Service, including software, models, designs and content, is owned by Cirvex or its licensors. We grant you a limited, non-exclusive, non-transferable right to use the Service under your plan. You retain ownership of the data you submit. Feedback you give us may be used without restriction.

9. Confidentiality

Each party will protect the other’s non-public information and use it only to provide or use the Service.

10. Disclaimers

The Service is provided “as is”. Cirvex Radar and any analysis we provide are informational and do not constitute legal, compliance or financial advice; verification results are probabilistic and you remain responsible for your final decisions. To the extent permitted by law, we disclaim implied warranties of merchantability, fitness and non-infringement.

11. Limitation of liability

To the maximum extent permitted by law, neither party is liable for indirect, incidental or consequential damages. Cirvex’s total liability under these Terms is limited to the fees you paid in the [12] months before the event giving rise to the claim. Nothing limits liability that cannot be limited by law.

12. Indemnification

You will indemnify Cirvex against claims arising from your unlawful use of the Service or breach of these Terms, including your failure to have a lawful basis to process end-user data.

13. Term & termination

These Terms apply while you use the Service. Either party may terminate for material breach not cured within [30] days. On termination, your right to use the Service ends and we will delete or return data per the DPA.

14. Changes

We may update these Terms; the “last updated” date will change and material changes will be notified. Continued use after changes means acceptance.

15. Governing law

These Terms are governed by the laws of [JURISDICTION], and disputes are subject to the courts of [JURISDICTION], without prejudice to mandatory consumer protections.
